Article 1 � Scope of application
These Terms and Conditions of Sale (T&Cs) apply to all service agreements entered into between Richard Lourmet (hereinafter "the Service Provider") and its professional or individual clients (hereinafter "the Client"). Any order implies unconditional acceptance of these T&Cs.
Article 2 � Services
The Service Provider offers website creation, SEO, Google Ads advertising, NFC solutions, AI training, and workflow automation services. The details of each service are specified in the quote provided to the Client.
Article 3 � Quotes and orders
All services are subject to a free quote valid for 30 days. An order is considered confirmed upon receipt of the signed purchase order and/or payment of the deposit defined in Article 4.
Article 4 � Pricing and payment terms
Prices are quoted in euros inclusive of all taxes. Unless otherwise stated in the quote: a 50% deposit is due on ordering, with the balance payable on delivery. Recurring projects (hosting, maintenance, SEO) are invoiced at the start of each month. Any late payment will incur late payment penalties at a rate of three times the applicable statutory interest rate, in accordance with French law n� 92-1442 of 31 December 1992.
Article 5 � Delivery timescales
The timescales stated in the quote are provided as estimates. In the event of a delay attributable to the Client (absence of content, approvals, required access, etc.), the timescales are automatically extended by an equivalent period. The Service Provider cannot be held liable for any delay caused by the Client.
Article 6 � Intellectual property
Upon full payment of the agreed price, the Client acquires the usage rights to the original creations delivered as part of the service. The Service Provider retains the right to reference the project in their portfolio, marketing materials, and social media for promotional purposes. Third-party elements included in the deliverables (typefaces, stock photographs, licensed icons, etc.) remain subject to their own licences and are not transferred to the Client.
Article 7 � Liability
The Service Provider undertakes to employ all necessary means to deliver the services properly. However, no liability may be incurred for loss of revenue, loss of business, or data loss arising from a service interruption, third-party hosting failure, cyberattack, or any event beyond its reasonable control. The Service Provider's total liability is, in all circumstances, limited to the amounts actually invoiced and collected in respect of the service concerned.
Article 8 � Termination
For recurring services (maintenance, hosting, SEO, etc.), either party may terminate the agreement upon 30 days' notice, notified by email to contact@richardlourmet.fr. Amounts already invoiced for elapsed periods remain due and are non-refundable. For one-off services in progress, termination results in the invoicing of work already completed on a pro-rata basis of the initial quote.
Article 9 � Applicable law and jurisdiction
These T&Cs are governed by French law. In the event of a dispute concerning their interpretation or performance, the parties undertake to seek an amicable resolution in the first instance. In the absence of agreement within 30 days of notification of the dispute, the Commercial Court of Bordeaux shall have sole jurisdiction, notwithstanding multiple defendants or warranty claims.
